PLEASE READ BEFORE BOOKING

These Terms govern your use of the Hodlstay platform and every booking you make through it. By creating an account or completing a booking you agree to be bound by these Terms in full. If you do not agree, do not use the platform.


1. Definitions

1.1 "Hodlstay", "we", "us", "our" means Airbtc Ltd, a company incorporated in the Cayman Islands, trading as Hodlstay, and operating the booking platform at hodlstay.com.

1.2 "You", "your", "Guest" means any person who accesses, browses, or makes a booking through the Hodlstay platform, and any person for whom that booking is made.

1.3 "Platform" means the website at hodlstay.com, all associated software, APIs, and any other digital interface operated by Hodlstay.

1.4 "Listing" means any accommodation property displayed on the Platform, whether a Proprietary Listing or an Inventory Listing.

1.5 "Proprietary Listing" means accommodation listed directly with Hodlstay by a host under our Host Terms & Conditions.

1.6 "Inventory Listing" means accommodation sourced through third-party inventory partners, being HotelPlanner and Dtravel, and displayed on the Platform.

1.7 "Host" means the owner or operator of a Proprietary Listing.

1.8 "Booking" means a confirmed reservation of accommodation made through the Platform.

1.9 "Total Booking Value" means the total price displayed to you at checkout and payable for a Booking. For Proprietary Listings, this price is inclusive of Hodlstay's service fee, which is built into the displayed price. No additional charges are added at checkout beyond the Total Booking Value.

1.10 "Bitcoin" or "BTC" means the Bitcoin cryptocurrency, denominated in satoshis (sats) as the base unit.

1.11 "Satoshis" or "sats" means the smallest unit of Bitcoin, equal to 0.00000001 BTC.

1.12 "Confirmation Rate" means the BTC/USD exchange rate used to calculate the sats equivalent of your Booking at the time of payment initiation.

1.13 "Cancellation Policy" means the refund terms applicable to your specific Booking, as displayed at checkout and recorded against your Booking at the moment you pay.

1.14 "Non-Delivery" means a failure by a Host or inventory partner to provide the accommodation materially as described in your Booking.

2. About Hodlstay and our role

2.1 Hodlstay is a Bitcoin-native travel booking platform operated by Airbtc Ltd, incorporated in the Cayman Islands. We connect guests with accommodation providers globally. Bookings on the Platform are paid in Bitcoin.

2.2 Our role varies depending on the type of Listing you book. We disclose our role at checkout for every Booking. You should read that disclosure before confirming.

2.3 Proprietary Listings. Hodlstay acts as the disclosed agent of the Host. The contract for accommodation is between you and the Host. Hodlstay collects payment on the Host's behalf and enforces the Host's cancellation and house policies on both parties.

2.4 Inventory Listings. Hodlstay acts as a booking agent facilitating the reservation through a third-party partner, being HotelPlanner or Dtravel. The contract for accommodation is between you and the accommodation provider. The inventory partner's or accommodation provider's terms and cancellation policy govern the booking, as disclosed at checkout. Checkout for a HotelPlanner booking is completed on the partner's own site and is paid by card, not in Bitcoin. This is disclosed to you before you leave the Platform.

2.5 Regardless of our role in any specific Booking, Hodlstay is responsible for the proper operation of the Platform, the accurate display of Listing information as provided to us, and the secure processing of payments made through the Platform.

2.6 Hodlstay is not a travel agent, tour operator, or package travel organiser. Unless expressly stated, we do not combine accommodation with transport or other travel services. We sell accommodation only.

3. Account registration

3.1 You must create an account to make a Booking. You must be at least 18 years of age to register an account or make a Booking.

3.2 You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.3 To register, you provide an email address and a display name. We sign you in using a single-use link sent to that address; we do not store a password for you.

3.4 Hodlstay may ask you for further information where we reasonably need it to comply with a legal obligation or to investigate suspected fraud. Where a request is not satisfied within a reasonable time, Hodlstay may suspend or terminate your account and cancel any pending Bookings, with a full refund of any amounts paid.

3.5 You are responsible for the security of the email account associated with your Hodlstay account, because access to that mailbox is access to your Hodlstay account. You are bound by all actions taken through your account. If you suspect unauthorised access, notify us immediately at hello@hodlstay.com.

3.6 Hodlstay does not collect or store payment credentials, and never holds your Bitcoin private keys. Bitcoin payments are processed through our payment provider, BTCPay Server.

4. The booking process

4.1 Listings on the Platform are an invitation to book, not a legally binding offer. A Booking is not confirmed until your payment has settled and we have sent you a written Booking Confirmation by email.

4.2 Booking a Proprietary Listing happens in three steps. You select your dates and send a booking request; the Host accepts or declines it; if the Host accepts, you pay. The price, the Cancellation Policy and Hodlstay's role for that Listing are shown to you before you send the request and again before you pay.

4.3 Booking requests and payment windows expire:

  • a booking request that the Host does not answer expires after 24 hours;
  • once a Host accepts, you have 24 hours to pay;
  • where check-in is less than 48 hours away, that payment window is 2 hours.

An expired request or payment window releases the dates and no money changes hands.

4.4 All prices are displayed in USD. The price shown on each Listing is the total price you pay — it includes Hodlstay's service fee. No additional charges are added at checkout beyond the displayed price. The sats equivalent is calculated at the Confirmation Rate at the time of payment initiation.

4.5 Hodlstay may decline or cancel any Booking, including where a Listing has become unavailable between search and payment, where a payment cannot be verified, or where we have reason to suspect fraud or a breach of these Terms. In such cases a full refund will be issued.

4.6 Your Booking Confirmation is sent to your registered email address and states the property name and address, your check-in and check-out dates, the total amount paid, the Cancellation Policy recorded against your Booking, and Hodlstay's role for that Booking.

4.7 It is your responsibility to ensure that emails from hodlstay.com are not filtered to spam. Hodlstay is not liable for loss arising from your failure to receive a Confirmation that was sent to your registered email address.

5. Payment

5A. General

5.1 Bookings on the Platform are paid in Bitcoin, on-chain or over the Lightning Network. We do not accept cards or bank transfers for Proprietary Listings.

5.2 Full payment is required within the payment window described at clause 4.3. We do not take deposits or part payments.

5.3 All Bookings are priced in USD. The USD amount is the amount that governs your Booking and any refund; Bitcoin is the means of payment.

5B. Bitcoin payments

5.4 The sats amount due is calculated at the prevailing BTC/USD exchange rate at the moment your payment is initiated. That rate is displayed to you before you confirm payment.

5.5 An on-chain payment is complete when our payment provider reports it as settled. Until then your Booking is pending. Hodlstay is not liable for delays caused by mempool congestion, low fee settings, or network conditions beyond our control.

5.6 Lightning Network payments settle in seconds, and your Booking is confirmed as soon as the payment is received.

5.7 Bitcoin transactions are irreversible. By paying in Bitcoin you acknowledge that: (a) once a transaction is broadcast it cannot be reversed or recalled; (b) Hodlstay cannot reverse a confirmed on-chain transaction; and (c) you have no right to initiate a chargeback or payment reversal. Your remedy in the event of a dispute is the process set out in Section 10.

5.8 The USD value of your Booking is fixed at the Confirmation Rate when you pay. Movements in the Bitcoin price after that point do not change what you owe or what you are owed.

5C. Taxes

5.9 Prices displayed on the Platform include applicable taxes where Hodlstay is required by law to collect and remit them. Where tax collection is the responsibility of the Host or accommodation provider, this is stated at checkout.

5.10 You are responsible for any personal tax obligation arising from your travel or from your Bitcoin holdings in your own jurisdiction. Hodlstay does not provide tax advice.

6. Cancellations and refunds

6A. Cancellation by you

6.1 Your right to cancel and any refund due depend on the Cancellation Policy applicable to your Booking, which is shown at checkout and recorded against your Booking when you pay. Read it before you confirm.

6.2 Proprietary Listings. The Cancellation Policy is chosen by the Host from the standard policies published at hodlstay.com/legal/terms, or is a policy the Host has written themselves. The policy that applies to your Booking is the one recorded when you paid. If the Host later changes the policy on their Listing, your Booking is unaffected.

Cancellation policies

Each native stay shows the host-selected policy before a guest books. The standard policies are:

Flexible

  • Cancel 24 hours or more before check-in for a full refund.
  • Less than 24 hours before check-in: the first night is non-refundable and the remaining nights are refunded.

Moderate

  • Cancel 5 days or more before check-in for a full refund.
  • Less than 5 days before check-in: the first night is non-refundable and 50% of the remaining nights are refunded.

Strict

  • Cancel 14 days or more before check-in for a full refund.
  • From 7 days to under 14 days before check-in, 50% of the accommodation is refunded.
  • Less than 7 days before check-in: the accommodation is non-refundable.
  • The cleaning fee is fully refunded for any cancellation before check-in.
  • If the host cancels, the guest always receives a full refund.
  • Refund obligations are calculated in USD. Hodlstay manually converts the approved USD amount to Bitcoin when the refund is sent.

A custom policy is the host's published free-text policy and is reviewed manually when a refund is requested.

6.3 Inventory Listings. The Cancellation Policy is set by the accommodation provider or inventory partner and displayed at checkout. Hodlstay has no authority to vary it, and refunds are subject to that provider's terms.

6.4 To cancel, use your account on the Platform or contact hello@hodlstay.com. A cancellation communicated only to the Host is not valid.

6.5 No cancellation or amendment takes effect until we confirm it in writing.

6B. EU consumer right of withdrawal

Note for EU residents. Under EU Directive 2011/83/EU, the 14-day right of withdrawal that applies to distance contracts does not apply to accommodation services for a specific date or period. By completing a Booking you accept that you do not have a statutory 14-day right to cancel. Your cancellation rights are governed entirely by the Cancellation Policy disclosed at checkout.

6C. Refund mechanics

6.6 A refund is calculated in USD, against the USD value recorded at the time of your Booking.

6.7 Refunds are paid in Bitcoin. The USD refund amount is converted to sats at the BTC/USD rate on the date the refund is sent. The sats you receive may be more or fewer than the sats you paid, depending on how the Bitcoin price has moved. Hodlstay is not liable for that difference.

6.8 Refunds are prepared and sent by a person, not automatically. We will process a refund within 5 business days of confirming that it is due. We are not liable for delays caused by network congestion or mempool conditions.

6.9 A cleaning fee is refunded in full for any cancellation before check-in.

6D. Cancellation by Hodlstay or the Host

6.10 If Hodlstay or a Host cancels your Booking for any reason other than your breach of these Terms, you receive a full refund of every amount you paid, including our service fee. We retain nothing.

6.11 Where Hodlstay cancels an Inventory Listing booking because of the inventory partner or accommodation provider, we will make reasonable efforts to find a comparable alternative. Where none is available, a full refund is issued.

7. Non-delivery

7.1 Non-Delivery occurs where: (a) the accommodation is not available on arrival despite a confirmed Booking; (b) it is materially different from how it was described in the Listing; (c) the Host or accommodation provider refuses to honour your Booking; or (d) it is unsafe or uninhabitable.

7.2 If you experience Non-Delivery, contact hello@hodlstay.com immediately. Do not simply leave the property without telling us — that may affect your remedy.

7.3 Where Non-Delivery is confirmed, you are entitled to a full refund of all amounts paid; or, where you have not completed your stay, we will make reasonable efforts to find a comparable replacement for the remaining nights.

7.4 Non-Delivery claims are not subject to the Cancellation Policy.

7.5 Minor variations between a Listing and the property do not constitute Non-Delivery, and neither does dissatisfaction with a property that was accurately described. Non-Delivery claims are reviewed by a member of our team on the evidence available. Our determination is final, subject to Section 10.

8. Guest obligations

8.1 You agree to use the Platform, and any accommodation booked through it, lawfully and respectfully.

8.2 You agree not to: (a) provide false or misleading information; (b) use the Platform if you are under 18; (c) make bookings for purposes other than legitimate accommodation; (d) harass, threaten or harm a Host, accommodation staff, or Hodlstay's people; (e) contact or book with a Host directly in order to circumvent the Platform and avoid our fees; (f) initiate a chargeback or payment reversal for a delivered Booking; or (g) use automated tools to access or scrape the Platform.

8.3 You are responsible for ensuring that everyone staying on your Booking complies with the Host's house rules as disclosed at checkout.

8.4 Hodlstay may suspend or terminate your account for any breach of clause 8.2, without notice and without liability to you.

9. Liability

9.1 Hodlstay is responsible for the proper operation of the Platform. We take reasonable steps to ensure Listings display accurate information as provided to us by Hosts and inventory partners.

9.2 Hodlstay is not liable for: (a) the quality, safety, suitability or fitness for purpose of any accommodation booked through the Platform; (b) inaccuracies in Listing content caused by a Host's or partner's failure to give us accurate information; (c) delays or failures in Bitcoin network confirmation outside our control; or (d) the acts or omissions of Hosts, accommodation providers, or inventory partners.

9.3 In cases of Non-Delivery, fraud, or gross negligence attributable to Hodlstay, our liability to you is uncapped. We will make you whole.

9.4 For all other claims, our total liability is limited to the Total Booking Value of the Booking to which the claim relates.

9.5 Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.

9.6 EU residents. Nothing in these Terms removes or limits any right you have under mandatory EU consumer protection law. Where these Terms conflict with those rights, your rights prevail.

10. Dispute resolution

10.1 If you have a complaint, contact us first at hello@hodlstay.com. We aim to respond within 2 business days and to resolve complaints within 10 business days.

10.2 If your complaint is not resolved through our internal process, either party may refer the dispute to binding arbitration under the rules of the London Court of International Arbitration. The seat of arbitration is the Cayman Islands and the language is English.

10.3 The arbitral award is final and binding on both parties.

10.4 EU residents. You may also submit a complaint to the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

10.5 Nothing in this Section prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.

11. Intellectual property

11.1 All content on the Platform, including design, layout, software, trademarks and original text, is owned by or licensed to Hodlstay. You may not copy, reproduce, distribute or create derivative works from it without our written permission.

11.2 Listing content — photographs, descriptions and property information — is owned by or licensed from Hosts and inventory partners. Your right to view it is limited to informing your booking decision.

12. Data protection and privacy

12.1 Hodlstay collects and processes personal data in accordance with our Privacy Policy at hodlstay.com/legal/privacy. That Policy forms part of these Terms.

12.2 We process your personal data on these lawful bases: performance of a contract, to fulfil your Booking; legal obligation, for tax and regulatory compliance; and legitimate interests, for platform security and fraud prevention.

12.3 We do not sell your personal data. We share it only as necessary to fulfil your Booking, to process payment, and as required by law.

12.4 EU residents. You have the right to access, correct, delete and port your personal data, and to object to or restrict certain processing. To exercise any of these rights, contact hello@hodlstay.com. We will respond within 30 days.

12.5 In the event of a data breach likely to affect your rights or freedoms, we will notify you and the relevant supervisory authorities within 72 hours of becoming aware of it.

13. General

13.1 These Terms are governed by the laws of the Cayman Islands. For EU residents, mandatory EU consumer protection law applies in addition and prevails in the event of conflict.

13.2 Hodlstay may amend these Terms. We will give at least 14 days' notice of material changes by email to your registered address and by notice on the Platform. The Terms that apply to a Booking are the Terms in force when you made it.

13.3 If any provision is found invalid or unenforceable, the rest continue in full force.

13.4 These Terms, the Privacy Policy, and any Booking-specific terms disclosed at checkout are the entire agreement between you and Hodlstay.

13.5 Our failure to enforce a right at any time is not a waiver of that right.

ACCEPTANCE REQUIRED

These Terms replace all previous agreements between you and Hodlstay, formerly Airbtc. Submitting a Listing for review, or continuing to receive bookings through Hodlstay, constitutes your acceptance of these Terms.


1. Definitions

1.1 "Hodlstay", "we", "us", "our" means Airbtc Ltd, a company incorporated in the Cayman Islands, trading as Hodlstay, and operating the booking platform at hodlstay.com.

1.2 "You", "your", "Host" means the person or entity that lists, has listed, or seeks to list one or more accommodation properties on the Platform under these Terms.

1.3 "Platform" means the website at hodlstay.com, all associated software, APIs, and digital interfaces operated by Hodlstay.

1.4 "Listing" means the public display of your Establishment on the Platform, including all associated content, pricing, availability, and booking functionality.

1.5 "Your Establishment" means the accommodation property or properties you list on the Platform.

1.6 "Your Content" means all information, photographs, descriptions, pricing, availability data, and other material you provide to Hodlstay in connection with your Establishment.

1.7 "Guest" means any person who makes a Booking at your Establishment through the Platform.

1.8 "Booking" means a confirmed reservation at your Establishment made through the Platform.

1.9 "Listed Price" means the net nightly rate you set for your Establishment — the amount you wish to receive per night. The Listed Price is the basis on which Hodlstay's service fee is calculated.

1.10 "Total Booking Value" means the guest-facing price displayed on the Platform, calculated as your Listed Price multiplied by 1.15 to add Hodlstay's 15% service fee, plus any mandatory charges you specify such as a cleaning fee. This is the amount the Guest pays. Example: Listed Price $100 → Total Booking Value $115.

1.11 "Applicable Cancellation Policy" means the cancellation and refund terms recorded against a specific Booking at the moment the Guest paid, being the policy you had published on your Listing at that time.

1.12 "Satisfactory Stay" means a Guest's stay that does not fall materially short of the expectations reasonably arising from your Content, your communications, and your Listing.

1.13 "Non-Delivery" means any failure to provide a Satisfactory Stay, as further defined in Section 13.

1.14 "Sats" or "Satoshis" means the base unit of Bitcoin, equal to 0.00000001 BTC.

2. Acceptance and onboarding

2.1 These Terms form a legally binding agreement between you and Hodlstay. They govern your listing of accommodation on the Platform and all Bookings made through it.

2.2 You accept these Terms by submitting a Listing for review, or by continuing to receive Bookings through the Platform after the effective date above. The Terms in force at the time of a Booking are the Terms that govern it.

2.3 Hosts migrated from the previous Airbtc platform (airbtc.online / airbtc.app) must review their migrated Listing and submit it for review before it is activated on hodlstay.com. Hodlstay will give notice of this by email to your registered address. Submitting the Listing constitutes acceptance of these Terms.

2.4 By accepting these Terms you represent and warrant that: (a) you have the legal authority to enter into this agreement; (b) your Establishment is lawfully permitted to operate as short-term accommodation in its jurisdiction; and (c) all information you have provided to Hodlstay is accurate and complete.

2.5 Before a Listing can be published, you must verify a phone number on your Hodlstay account. This is a condition of publication and applies to every Host.

3. Your listing

3.1 Hodlstay may approve, decline, or withdraw any Listing at its discretion. Approval is not guaranteed and does not constitute an ongoing entitlement. Every Listing is reviewed by a member of our team before it is published.

3.2 Hodlstay may adjust the presentation, formatting, or ordering of your Listing at any time to maintain platform quality and consistency. We will not materially alter the substance of your Content without telling you.

3.3 Your Listing may be displayed alongside other Listings or Platform content. You have no right to revenue generated from anything displayed alongside your Listing.

3.4 Hodlstay will not list, and may delist, any Establishment that: (a) operates unlawfully in its jurisdiction; (b) has been associated with fraud, misrepresentation, or material harm to guests; (c) repeatedly fails to meet Guest expectations; (d) receives sustained negative reviews indicating a pattern of poor quality; or (e) is associated with activities that are illegal or significantly damaging to Hodlstay's reputation.

3.5 Hodlstay may also decline to list, or may delist, any Establishment at its discretion.

4. Delisting

4.1 Hodlstay may delist your Establishment at any time, with or without notice, and without liability to you.

4.2 If you wish to delist, write to hello@hodlstay.com. We will delist your Establishment within 5 business days. Confirmed Bookings at the time of delisting must still be honoured.

4.3 Delisting does not release either party from obligations arising from Bookings confirmed before it. The rights of Guests with existing Bookings survive delisting.

4.4 Following delisting, Hodlstay may retain your Content in order to display the Listing to Guests who have already booked with you. We will not market a delisted Establishment to new Guests.

4.5 You may write to hello@hodlstay.com to have your Content removed after delisting. We will honour that within a reasonable time, subject to any legal or operational obligation to retain it.

5. Your content

5.1 You warrant that all of Your Content is original and accurate, that you have the full right to use it for the purposes set out in these Terms, and that it does not infringe the intellectual property rights of any third party.

5.2 You grant Hodlstay a royalty-free, worldwide licence to use, adapt, reproduce and display Your Content for: (a) operating and displaying your Listing; (b) marketing and promoting Hodlstay and its destinations on any medium; and (c) internal training and quality assurance. This licence runs for as long as your Establishment is listed.

5.3 Following delisting, Hodlstay's marketing use of Your Content ceases. We may continue to retain and display it only as permitted by clause 4.4, and will remove it on a valid request under clause 4.5.

5.4 You indemnify Hodlstay against any third-party claim arising from Your Content infringing their intellectual property rights.

5.5 Hodlstay may make reasonable adaptations of Your Content for presentation on the Platform. Adapted content remains Hodlstay's work and you may not use it without our written permission.

6. Content accuracy

6.1 You are responsible for ensuring Your Content accurately represents your Establishment at all times, including descriptions, photographs, pricing, availability, house rules and access information.

6.2 You must tell Hodlstay immediately of any material change to your Establishment that would affect a Guest's expectation or experience.

6.3 Where you connect an external calendar to the Platform by iCalendar feed, Hodlstay relies on the availability data received from that feed as accurate and current. You bear liability for booking problems arising from inaccurate data supplied by your own system.

6.4 Hodlstay may update or correct Your Content where it is clearly inaccurate or fails to meet platform standards. We will tell you about any material correction.

7.1 You are solely responsible for obtaining and maintaining any registration, licence or permit required for the lawful short-term rental of your Establishment in its jurisdiction, including any registration required under EU or member-state law.

7.2 You must tell Hodlstay immediately if a required registration expires, is revoked, or changes in a way that affects your ability to operate lawfully.

7.3 Where Hodlstay becomes aware that your Establishment is not lawfully permitted to operate, we will suspend your Listing until the position is resolved. Hodlstay is not liable to you for revenue lost during such a suspension.

8. Account and access

8.1 You are responsible for all actions taken through your Hodlstay Host account, whether by you or by anyone you have allowed to access it.

8.2 We sign you in using a single-use link sent to your registered email address. Any person with access to that mailbox can access your account and is treated by Hodlstay as authorised by you.

8.3 Tell Hodlstay immediately at hello@hodlstay.com if you suspect unauthorised access to your account.

9. Booking process

9A. Request to book

9.1 Where your Listing is set to request-to-book, a Guest sends a booking request for specific dates. Hodlstay calculates the price from your Listed Price and your published rates; you do not quote a price yourself.

9.2 You have 24 hours to accept or decline a request. A request you do not answer within 24 hours expires automatically and the dates are released.

9.3 If you accept, the Guest has 24 hours to pay, or 2 hours where check-in is less than 48 hours away. You must hold the dates for the Guest until that window closes.

9.4 If you are unable to accommodate a Guest, decline the request promptly rather than letting it expire. Repeated failure to respond will affect your Listing's ranking and may result in delisting.

9B. Instant book

9.5 Where your Listing is set to instant book, a Guest may book without your prior acceptance, and moves straight to payment.

9.6 An Instant Booking is confirmed when the Guest's payment settles. Hodlstay will notify you by email.

9.7 You must honour every confirmed Instant Booking.

9C. General

9.8 A Booking is confirmed when the Guest's payment settles, and Hodlstay sends written confirmation to you and to the Guest at that point. You must honour every confirmed Booking.

9.9 You must not communicate with Guests outside the Platform in order to solicit or facilitate a booking that circumvents Hodlstay's fees.

10. Payments

10.1 You appoint Hodlstay as your disclosed agent to receive guest payments on your behalf for Bookings made through the Platform.

10.2 Guests pay in Bitcoin, on-chain or over the Lightning Network. Every Booking is priced and accounted for in USD; the USD value of a Booking is fixed at the moment the Guest pays.

10.3 Payouts are made in Bitcoin to the wallet address on your Host account. We do not currently pay out by bank transfer.

10.4 The sats amount of your payout is calculated at the BTC/USD rate at the time Hodlstay sends it. Hodlstay is not responsible for movement in the Bitcoin price between the Guest's payment and your payout.

10.5 Hodlstay will pay your Listed Price, less any applicable deduction, within 7 days of the Guest's checkout. Payouts are prepared and sent by a person, not automatically.

10.6 Hodlstay may withhold a payout for up to 7 days after checkout to allow a Guest complaint or dispute to be resolved.

10.7 You are responsible for giving Hodlstay a valid Bitcoin wallet address. Hodlstay is not liable for a payment misdirected because of details you supplied. Tell us immediately of any change at hello@hodlstay.com.

10.8 Hodlstay may offset any amount you owe us — service fees, refund reimbursements, non-delivery costs — against amounts we owe you.

11. Service fee

How the service fee works. You set your Listed Price — the amount you want to receive. Hodlstay adds 15% on top. Guests see one all-in price. Example: you set $100 → the Guest sees $115 → you receive $100 → Hodlstay keeps $15.

11.1 Hodlstay earns revenue through a service fee added on top of your Listed Price. Nothing is deducted from your payout.

11.2 You set your Listed Price, the net nightly amount you wish to receive. Hodlstay calculates the guest-facing price by multiplying it by 1.15. That is what Guests see and pay. Your Listed Price is what you receive.

11.3 Example: Listed Price $100.00 → service fee $15.00 → Guest pays $115.00 → you receive $100.00 → Hodlstay retains $15.00. The same calculation applies to each nightly rate and to any mandatory per-night charge you set.

11.4 The guest-facing price shown on the Platform is one total. No fee breakdown is shown to Guests while browsing. The total shown is the total paid.

11.5 A different service fee rate may be agreed in writing between you and Hodlstay, and any such agreement supersedes this clause for the Bookings it covers.

11.6 Hodlstay does not currently issue service fee invoices. A statement of the fee retained on each Booking is available from us on request.

11.7 Where a Booking is cancelled, Hodlstay's service fee is retained only in proportion to the amount retained under the Applicable Cancellation Policy. If the Guest receives a full refund, Hodlstay retains nothing. If the Guest receives a partial refund, the amount retained is divided between you and Hodlstay in the same 100:15 proportion as the original Booking.

11.8 If you are VAT-registered, you are responsible for issuing the Guest with a tax invoice for their stay unless Hodlstay has agreed in writing to do so on your behalf. Tax invoices should be based on the Total Booking Value.

11.9 You are responsible for understanding and complying with your own tax obligations. Hodlstay does not provide tax advice. You must not disclose Hodlstay's service fee separately to Guests on any invoice or statement you give them.

11.10 The service fee applies to all Bookings by Guests introduced through the Platform, including where such a Booking is subsequently made off-platform. If you take a direct booking from a Guest first introduced through Hodlstay, you remain liable for the service fee on the Total Booking Value of that booking.

12. Cancellations

12.1 You must set a Cancellation Policy for your Establishment through your Host account. A Listing cannot be approved without one.

12.2 The policy recorded against a Booking at the moment the Guest paid is the Applicable Cancellation Policy for that Booking, and you are bound by it. Changing the policy on your Listing later does not affect Bookings already made.

12.3 If you offer a Guest more favourable cancellation terms after their Booking is confirmed, in any form, those terms become the Applicable Cancellation Policy for that Booking.

12.4 Guests pay in full at the time of booking; there are no deposits. The Applicable Cancellation Policy governs how much of the accommodation subtotal is refunded.

12.5 A cleaning fee is refunded to the Guest in full for any cancellation before check-in, in every policy.

12.6 Any ambiguity in a Cancellation Policy is interpreted in favour of the Guest.

12.7 Where a cancellation results in an amount being retained, that amount is divided between you and Hodlstay in the proportion set out at clause 11.7. Neither party retains anything where the Guest is refunded in full.

12.8 If you cancel a confirmed Booking, the Guest receives a full refund of everything they paid, and Hodlstay retains no service fee. Host cancellations are also treated under Section 13.

13. Non-delivery

13.1 Non-Delivery occurs where: (a) a Guest does not have a Satisfactory Stay; (b) your Establishment is materially misrepresented in Your Content; (c) a double-booking prevents you from honouring a reservation; (d) you unilaterally cancel or refuse to honour a confirmed Booking; (e) your Establishment has ceased trading or changed hands and the new owner does not honour the Booking; (f) the Guest cannot contact you using your registered contact details; or (g) you fail to give the Guest adequate access information before check-in.

13.2 Anticipated Non-Delivery — where Hodlstay has reasonable grounds to believe Non-Delivery is likely — is treated as Non-Delivery.

13.3 In cases of Non-Delivery: (a) you must repay all amounts already paid to you for that Booking; (b) you forfeit any amount not yet paid to you; and (c) Hodlstay may recover from you the service fee on the Total Booking Value of the non-delivered Booking.

13.4 Where Hodlstay arranges a replacement booking, you are liable for the difference between the Total Booking Value of the non-delivered Booking and the cost of the replacement for the nights replaced.

13.5 Non-Delivery is not subject to your Applicable Cancellation Policy.

13.6 Non-Delivery claims are assessed by a member of our team on the evidence available from both parties.

14. Refunds to guests

14.1 Where a Guest is entitled to a refund, Hodlstay will refund, on your behalf, amounts the Guest paid to Hodlstay for their Booking.

14.2 Refunds are calculated against the USD value recorded at the time of the Booking and converted to sats at the BTC/USD rate on the date the refund is sent.

14.3 Hodlstay may recover from you all amounts refunded to Guests on your behalf, to the extent you had already received them.

14.4 For amounts a Guest paid directly to you, you are responsible for refunding those amounts directly unless Hodlstay has agreed in writing to do so on your behalf.

14.5 Refund obligations are due immediately upon arising.

15. Irreversibility of payments

15.1 Bitcoin transactions are final once settled. There is no chargeback mechanism and no clawback of your payout will occur in respect of a settled Bitcoin payment.

15.2 Where a payment is later found to have been fraudulent, Hodlstay's liability is limited to forfeiture of its service fee, and you are liable to repay any amount you received for that Booking, irrespective of the Cancellation Policy.

16. Running your establishment

16.1 Hodlstay does not operate or manage your Establishment. You retain full responsibility for its operation.

16.2 You are solely responsible for: (a) complying with all applicable laws, regulations, licences and permits; (b) maintaining adequate property and liability insurance; (c) paying all applicable taxes on revenue received; (d) operating to a standard that reflects well on the Platform; and (e) remaining contactable at your registered contact details.

16.3 Tell Hodlstay promptly at hello@hodlstay.com of any change of ownership or management. The new owner or manager must honour all confirmed Bookings.

17. Reviews

17.1 Hodlstay may publish Guest reviews on your Listing. We do not verify the accuracy of reviews but may remove any that are fraudulent or abusive.

17.2 To respond to a review, or to ask for one to be removed, write to hello@hodlstay.com. Hodlstay may publish, edit, or decline to publish a response.

18. Data protection

18.1 Where Hodlstay shares Guest personal data with you for a Booking, you agree to: (a) use it only to fulfil that Booking; (b) protect it to the standard required by applicable data protection law, including the GDPR where your Establishment is in the EU; (c) not use it for marketing without the Guest's explicit consent; and (d) delete it on Hodlstay's request.

18.2 Tell Hodlstay at hello@hodlstay.com within 24 hours of becoming aware of any suspected breach of Guest personal data shared with you.

19. Indemnity and limitation of liability

19.1 You indemnify Hodlstay against any claim, loss, cost or liability arising from: (a) Your Content; (b) your failure to honour a confirmed Booking; (c) your breach of these Terms; (d) any claim by a Guest arising from their stay; or (e) your failure to comply with applicable laws.

19.2 Hodlstay is not liable to you for indirect, consequential or economic loss arising from the use or operation of the Platform.

19.3 Where Hodlstay is found liable to you despite these Terms, our total liability is capped at the total service fees you paid us in the 12 months preceding the event giving rise to the claim.

19.4 Nothing in these Terms limits Hodlstay's liability for fraud, or for death or personal injury caused by our negligence.

20. Authoritative record

20.1 Hodlstay's records, whether automated or maintained by hand, are the authoritative record in any dispute about a Booking, payment, communication or transaction conducted through the Platform.

21. Amendments

21.1 Hodlstay may amend these Terms. We will give at least 14 days' written notice of material amendments by email to your registered address. Continuing to receive Bookings after the effective date constitutes acceptance of the amended Terms.

22. General

22.1 These Terms are governed by the laws of the Cayman Islands. Any dispute shall be referred to binding arbitration under LCIA rules, seated in the Cayman Islands, in English.

22.2 If any provision is found invalid or unenforceable, the rest continue in full force.

22.3 These Terms, together with any written service fee agreement, the Privacy Policy, and any Booking-specific terms, are the entire agreement between you and Hodlstay in respect of your Listing.
